Organizational Structure & Governance

Governance & Lines of Authority

  • Purpose of governance: ensuring transparency and integrity in managing the association through clear authorities and responsibilities, preventing conflicting decisions, and separating the supervisory and executive roles.
  • Adopted principles: administrative and financial transparency, accountability, fairness in service delivery, efficient use of resources, and separation of powers.
  • Decision rules: operational decisions are issued by the executive director, while strategic decisions are approved by the board; any instruction outside the line of authority is void and non-binding.
  • Delegation: the executive director may delegate some authorities by a written, time-limited delegation that cannot be re-delegated.
  • Conflict of interest: all staff must disclose any conflict of interest; using a position for personal gain is prohibited.
  • Accountability and discipline: all staff are subject to accountability and investigation of any violation per the internal regulations.
  • Review and update: the governance system is reviewed annually and amendments are approved by the board.

Core governance rule: no employee or volunteer may take direct instructions from anyone other than their direct manager, and any breach of the lines of authority is an administrative violation.
